
The following Terms & Conditions govern any work undertaken by Sleeky Ltd.
1). Contract
The client's approval for work to commence (either written or verbal) shall be deemed a contractual agreement between the client and Sleeky Ltd. This also indicates that the client accepts the Terms & Conditions outlined below.
2). Quotations / Packages
The price quoted to the client is for the work specifically listed on the quotation / package only. Should the client decide that changes are required after work on the website has commenced, there maybe a surcharge.
It is the client's responsibility to ensure everything required at the time of quotation / package is listed. If something intended is not listed, then there maybe a surcharge.
Unless otherwise agreed any quotation provided will be valid for 30 days from the date of receipt.
All prices featured on our website are subject to availability, change and exclude VAT.
3). Payment
Generally an advance fee of 50% of the total cost of the project is required before work can start, with the remaining 50% payable on the website going live. Clients should only pay this advance fee if they agree to our Terms & Conditions. Payment of the advance will be taken as agreement.
After work on a website commences advances are non-refundable.
We also reserve the right not to launch a website until full payment has been received or suspend your hosting without notice due to non-payment to Sleeky Ltd or any of its sister companies.
Hosting payments will be due as soon as the website goes live / is accessible to the public.
4). Cancellation
Should the client wish to cancel at any point after work has begun, they will still be liable for the work that has taken place and shall be invoiced accordingly. If an advance payment has been made, this is non-refundable.
5). Website Content
It is your responsibility to supply all website content such as text and images. We are only able to provide copywriting and photography services at an extra charge.
You must ensure that we are not delayed as a result of late delivery of the material and content required to complete your website.
On any occasion where we are delayed over 30 days because you have not provided content or essential information required to complete your project, we reserve the right to impose a surcharge of 25% of the total cost of the work or invoice the cost of the entire website in advance.
Where content management software is provided, it is the client's responsibility to upload their catalogue.
6). Copyrighted Content
In situations where the client provides images, text, animations, layouts or any other content for their website they are legally responsible for ensuring that this material does not infringe any copyright.
7). Intellectual Copyright
Sleeky Ltd holds intellectual copyright of any material, including source code and original images created for the client until payment of the final invoice. We also reserve the right to re-use source code we have developed for your project unless otherwise agreed in writing prior to the start of the project.
8). Search Engine Optimisation
The order in which websites are ranked in the natural search results is controlled by the search engines. While we optimise your site initially for this by making it search engine friendly, it is impossible to make any guarantees on ranking position.
9). 3rd Party Issues
Sleeky Ltd is in no way responsible for the performance or failure of 3rd party software or services used by your website. We will endeavour our best to fix any problems quickly and for free but we reserve the right to charge for more complex issues.
10). Late Payment
Any websites previously launched may be removed without notice if payment is not forthcoming.
Accounts that have not been settled within 7 days of our final reminder will incur a late payment charge of 10% of the amount outstanding. You will also be charged statutory interest of 8% above the reference rate (fixed for the six month period within which date the invoices became overdue) pursuant to the late payment legislation.
11). Support
Your website will be handed over as a fully functioning, completed work. Unless it has been agreed beforehand Sleeky Ltd is not responsible for future support. Support can be provided upon request for an agreed fee.
Your website is offered as a single contract and no guarantee of the availability of future support from Sleeky Ltd is offered unless an ongoing support package has been agreed.
12). Compliance
We design websites in accordance with the client's specifications. It is the client's responsibility to ensure that the website and its content comply with current online trading laws and regulations.
We cannot accept responsibility for any failure to comply with laws and regulations related to accessibility, selling online or those related to a specific business or trade. We can research this on the client's behalf upon request, but in any business where complex compliance issues may exist we recommend that the client takes legal advice from their solicitor.
13). Hosting
While we aim to keep any website hosted by ourselves accessible 24/7, we cannot be held responsible for any downtime and subsequent loss of business you may suffer whether from routine maintenance or server failure.
In the unlikely event of a server failure or a malicious attack, we will attempt to get your website up and running again as quickly as possible.
We offer free basic design changes on selected hosting packages. For more time consuming amends, creating graphics and adding new pages, we reserve the right to charge.
14). Domain Registrations / Renewals
Should you wish to transfer your domain to another company we reserve the right to withhold access if you account is in arrears. Although we don't charge a fee to release a domain, any transfer costs from third parties will be your responsibility.
In order to avoid you losing your domain, unless we are informed otherwise, it will automatically be renewed and you will be charged accordingly.
15). Referrals
a. Offer available from 01.01.2011 to 31.12.2011
b. A new client is defined as having not previously worked with Sleeky Ltd
c. Sleeky Ltd will have no obligation to work with any client you should introduce
d. The referral fee will be paid once we receive full payment from the client you introduce
e. The fee will be 10% of the initial job undertaken – any further jobs or ongoing support will not be subject to further commission
f. These Teams & Conditions are subject to change – any additions or updates will be posted on our website
